Terms of Service

SpendLoom is a product of Vineyard Reality Technologies LTD (“Vineyard,” “we,” “our,” “us”). These Terms govern your access to and use of SpendLoom’s applications, website, and related services (“Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Eligibility

• You must be at least 18 years old and capable of forming a binding contract.
• You represent that your use complies with applicable laws and regulations.

2) Account Registration & Security

• Provide accurate information and keep it updated.
• Safeguard your credentials and promptly notify us of any breach.
• You are responsible for actions taken through your account.

3) Services

• Tools to upload MoMo/bank statements, parse and categorize transactions, generate insights and exports.
• We may improve or modify features at any time.
• Insights are informational only; we do not provide financial, tax, or legal advice.

4) Acceptable Use

• Only upload data you own or are authorized to process.
• No unlawful, infringing, harmful, or deceptive activity.
• No interference with the platform, scraping, or rate-limit abuse.
• No reverse engineering except to the extent permitted by law.
• Comply with applicable laws, including Ghana’s Electronic Transactions Act, 2008 (Act 772) and Data Protection Act, 2012 (Act 843).

5) Subscriptions, Billing & Refunds

• Paid plans renew automatically unless canceled. We use approved providers (e.g., Paystack, card networks, MoMo).
• You authorize recurring charges until you cancel in your account settings.
• Prices may change; we’ll notify you in advance of the next billing cycle.
• Taxes (if any) are your responsibility.
• Refunds are governed by our Refund & Cancellation Policy.

6) Privacy

Your use of the Services is subject to our Privacy Policy and, where applicable, our Data Processing Agreement (DPA) and Cookie Policy.

7) Your Content & License to Us

• You retain ownership of the data you upload.
• You grant Vineyard a limited, non-exclusive, worldwide license to host, process, analyze, and display your content solely to provide the Services and as otherwise permitted by law.

8) Intellectual Property

The Services, including software, design, and trademarks, are owned by Vineyard or its licensors. Except for the rights expressly granted, no rights are transferred to you. Do not copy, modify, or distribute our IP without permission.

9) Third-Party Services

Some features may rely on third-party services. We are not responsible for third-party terms, policies, or outages.

10) Availability & Changes

We aim for high availability but do not guarantee uninterrupted service. We may suspend or modify the Services for maintenance, updates, or security.

11) Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

12) Limitation of Liability

To the maximum extent permitted by Ghanaian law, Vineyard will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or use. Our total liability for any claim is limited to the fees you paid for the Services in the six (6) months preceding the claim.

13) Indemnification

You will indemnify and hold harmless Vineyard and its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses arising from your content, your use of the Services, or your violation of these Terms or applicable law.

14) Term & Termination

• You may stop using the Services and/or delete your account at any time.
• We may suspend or terminate your access for material breach or risks to security or legal compliance.
• Upon termination, certain sections survive (e.g., IP, Disclaimers, Liability, Indemnification, Governing Law, Dispute Resolution).

15) Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Ghana. Disputes will first be addressed by contacting legal@spendloom.com. If unresolved, disputes may be referred to arbitration in Ghana pursuant to the Alternative Dispute Resolution Act, 2010 (Act 798).

16) Changes to These Terms

We may update these Terms from time to time. Material changes will be notified in-app or by email. Continued use after changes means you accept the updated Terms.
